Unicorn FinReg: Terms of Service
Version date: 6 November 2026
These Terms of Service (the "Terms") govern the use of Unicorn FinReg (the "Service"), provided by Unicorn Private LLC, a Delaware limited liability company, 16192 Coastal Highway, Lewes, Delaware 19958, United States of America ("Unicorn Private", "we"). The company that creates an account and uses the Service is the "Customer". The Terms are accepted online when the Customer creates an account, saves a card or uses the Service. We do not sign individual contracts: these Terms, the Data Processing Agreement and the Privacy Notice published on finreg.unicornprivate.com form the entire agreement.
1. The Service
1.1 The Service is an information platform for financial intermediaries and other businesses that monitors publications of financial supervisory authorities (for example circulars, ordinances, guidance, consultations, enforcement decisions and sanctions notices), filters them on the regulatory profile chosen by the Customer and provides tools to record follow up actions ("obligations") and dates.
1.2 The Service reads only the feeds published by the authorities themselves and presents each publication with its source, date and a link to the original text. Classifications, summaries, suggested checks, dates and translations are produced automatically with artificial intelligence models or rules.
1.3 The Service is available through the website, the dashboard, email alerts and the API. Without a subscription the Customer sees a preview of the publications; all functions are available during the trial and with a subscription, as described in section 4 and on the pricing page.
2. Nature of the Service and responsibility of the Customer
2.1 The Service is an information tool. It does not provide legal, compliance, tax, investment or other professional advice, and it does not make decisions on behalf of the Customer.
2.2 A classification of a publication (type, impact, licences concerned), a suggested check or a date extracted from a text is an automatic reading, not an assessment of the Customer's obligations. The Customer must read the official publication before taking any decision. Publications not matched by the profile, or not yet published in the feeds of the authorities, are not shown.
2.3 Decisions and legal obligations remain with the Customer, including the identification, interpretation and implementation of the rules that apply to it, its reporting duties towards supervisory authorities and supervisory organisations, and its obligations on sanctions and anti money laundering. The obligations register is a tool of the Customer: the Customer decides its content and remains responsible for it. The use of the Service does not by itself make the Customer compliant with any law.
2.4 Sources may contain errors, be incomplete or be updated with delays. Automatic summaries and translations may contain inaccuracies; the original text of the source prevails.
3. Account, users and access
3.1 The Customer registers with a work email. Access is through single-use links sent by email; there are no passwords. The Customer is responsible for the security of the email accounts of its users.
3.2 Admin users of the Customer can invite other users, assign the admin or member role, create and revoke API keys, manage billing and delete the account. The Customer is responsible for the actions of its users and for keeping API keys confidential.
3.3 The Customer must provide accurate company and billing information, including its tax identification number where required.
4. Subscription, trial and payment
4.1 Plans. The Service is offered as a subscription per Customer, with monthly or annual billing, in the plans published on the pricing page: a plan for a single supervised firm and a plan for consultants and fiduciaries that follow several client profiles. Prices are in Swiss francs (CHF), excluding taxes where applicable.
4.1A Price list. The plan prices, the content of each plan (profiles, users and authorities included), the prices of the add-ons and the duration of the trial are those indicated on the pricing page of the Service (https://finreg.unicornprivate.com/pricing/), in the version in force at the time of subscription or renewal (the "price list"). The price list states the date from which it applies. Changes apply from the next billing period, subject to section 4.6, and have no retroactive effect on charges already made.
4.2 Trial. Each Customer may use the Service free of charge once, for the trial period indicated in the price list. To start the trial the Customer saves a payment card with Stripe; nothing is charged during the trial. Unless the Customer cancels before the end of the trial, the subscription starts at the end of the trial and the card is charged for the first billing period. We send a reminder by email to the admin users before the end of the trial. A Customer that has already used a trial starts the subscription without a new trial.
4.3 Plan charges. By subscribing the Customer authorizes us to charge the saved card at the start of each billing period (monthly or annual) for the plan price, until the subscription ends. Stripe issues an invoice for each charge.
4.4 Add-ons. Items beyond those included in the plan (each further authority in a profile, each further user, each further client profile) are charged at the add-on prices of the price list, per calendar month (UTC) in which the item is active, counted once when the item is added and again at the start of each following month. Add-ons are never charged during the trial. With monthly billing they are invoiced at the end of each month; with annual billing they are invoiced at the end of the annual period. The price of add-ons is shown in the dashboard before the Customer adds an item.
4.5 Taxes. Prices exclude value added tax and similar taxes. The Customer provides its company identification number (such as the Swiss UID or a VAT number) at checkout. Where Swiss VAT or another tax applies, it is added to the invoice or accounted for by the Customer under the reverse charge or acquisition tax rules, as applicable.
4.6 Price changes. We may change the plan and add-on prices with at least 30 days notice by email to the admin users. The new prices apply from the first billing period that starts after the notice period; annual subscriptions keep the price paid until the end of the annual period.
4.7 Failed payments. If a payment fails, the Customer is informed by email and keeps full access for 7 days to update the card; after that, until the invoice is paid, the Service is limited to the preview and to the export of the obligations register and the activity log.
5. Cancellation and refunds
5.1 The Customer may cancel at any time from the billing portal, reachable from the dashboard. A cancellation during the trial ends the trial immediately or at its end, without any charge. A cancellation after the trial takes effect at the end of the current billing period; the Service remains available until then. There are no cancellation fees and no minimum term beyond the billing period paid.
5.2 Plan and add-on charges are not refunded, including for annual periods not used in full and for items removed before the end of the month, except where required by law.
5.3 After the end of the subscription the Customer keeps access to the preview and can export the obligations register and the activity log at any time until the account is deleted.
6. Acceptable use
6.1 The Customer will use the Service only for its lawful business purposes and in compliance with applicable law, including data protection law.
6.2 The Customer will not: use the Service to make decisions about individuals without appropriate human review where the law requires it; upload data that it has no right to process; resell or redistribute the Service or its content as a standalone product; attempt to access other customers' data; overload, scan or interfere with the Service; or circumvent the limits of the plan.
6.3 We may suspend access in case of a serious breach of this section, with notice to the admin users where possible.
7. Customer data
7.1 The Customer keeps all rights to the data it uploads, such as lists of names, monitoring profiles and notes ("Customer Data"). We use Customer Data only to provide the Service.
7.2 When Customer Data contains personal data, we act as processor under the Data Processing Agreement, which forms part of these Terms.
7.3 We do not use Customer Data to train artificial intelligence models.
8. Content of the Service
8.1 Publications of the authorities remain subject to the rights and terms of those authorities. Summaries, briefings, the obligations register and other outputs of the Service ("Outputs") may be used by the Customer for its internal business purposes, including sharing with its advisers, auditors, supervisory organisations and authorities.
8.2 The software, design, databases and trademarks of the Service belong to Unicorn Private or its licensors.
9. Availability and support
9.1 We aim to keep the Service available at all times but do not guarantee uninterrupted availability. The status of the Service and of its sources is published on finreg.unicornprivate.com/status.
9.2 Support is provided by email only, at mail@unicorn-club.com.
10. Confidentiality
Each party will keep confidential the non public information received from the other party and will use it only for the purposes of these Terms, except where disclosure is required by law.
11. Warranties and disclaimer
11.1 We will provide the Service with reasonable care and skill.
11.2 Except as stated in these Terms and to the extent permitted by law, the Service is provided "as is", without warranties of accuracy, completeness, fitness for a particular purpose or non infringement.
11.3 Information is provided for informational purposes only, as is, based on public sources as of the date shown. Unicorn Private LLC assumes no legal responsibility for the accuracy, completeness or timeliness of the information.
12. Limitation of liability
12.1 To the extent permitted by law, neither party is liable for indirect, consequential or special damages, loss of profit, loss of business or loss of data.
12.2 To the extent permitted by law, the total liability of Unicorn Private under these Terms is limited to the amounts paid by the Customer for the Service in the 12 months before the event giving rise to the claim.
12.3 Nothing in these Terms limits liability that cannot be limited by law.
13. Term, termination and deletion
13.1 These Terms apply from acceptance until the account is deleted.
13.2 Either party may terminate in case of a material breach not remedied within 30 days of notice.
13.3 After the account is deleted, Customer Data is deleted within 30 days, except invoices and the records that must be kept by law. Before deletion, admins can export the obligations register and the activity log from the dashboard or the API.
14. Changes to these Terms
We may update these Terms. Material changes are notified by email to admin users at least 30 days before they take effect. Continued use after that date means acceptance.
15. Governing law and venue
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law rules. The courts of the State of Delaware have exclusive jurisdiction, unless mandatory law provides otherwise.
16. General
16.1 If a provision is invalid, the rest of the Terms remain in force.
16.2 The Customer may not assign these Terms without our consent. We may assign them to an affiliate or a successor.
16.3 Translations are provided for convenience; the English version prevails.
16.4 Notices to the Customer are sent by email to its admin users. Notices to Unicorn Private are sent to mail@unicorn-club.com.
